This document represents the PhotoRobot License Agreement: Version 1.0 — PhotoRobot Edition, uni-Robot Ltd., Czech Republic.
1. Introduction - PhotoRobot License Agreement
This PhotoRobot License Agreement (“Agreement”) is a legal contract between uni-Robot Ltd., Vodičkova 710/31, 110 00 Prague 1, Czech Republic (“PhotoRobot”) and the entity or person (“Licensee”, “you”) using any licensed software or firmware provided by PhotoRobot.
By installing, activating, or using any PhotoRobot software, firmware, module, or robotic device, you agree to be bound by this Agreement.
If you do not agree, you must not install or use the Licensed Software or Firmware.
This Agreement supplements the PhotoRobot Terms of Service.
2. Definitions
- Licensed Software – any PhotoRobot software provided to you under this Agreement, including Controls Local (CL), Cloud 2.0 extension, activation tools, installers, drivers, and related components.
- Controls Local (CL) – the desktop/local application installed on the Licensee’s system, requiring a software key for activation.
- Cloud 2.0 – a cloud extension enabling enhanced cloud-based workflows for CL.
- Firmware – embedded software running on PhotoRobot Robots (TurnTable, Cube, Robotic Arm, Frame, Carousel, etc.).
- Robots – PhotoRobot physical devices containing motors, electronics, sensors, embedded controllers, and firmware.
- Software Key – activation key or token issued by PhotoRobot to enable licensed functionality.
- Update – a minor modification, patch, or improvement.
- Upgrade / Trade-Up – a major version or replacement requiring a new license or fee.
- Documentation – manuals, online help, technical notes and usage guides.
3. Grant of License
3.1. License Scope
PhotoRobot grants Licensee a non-exclusive, non-transferable, revocable license to:
- install and use Controls Local on the permitted device(s)
- connect CL to Cloud 2.0, if enabled
- operate Firmware on PhotoRobot Robots owned or legally used by Licensee
- create a reasonable number of backup copies
3.2. Purpose
Licensed Software may only be used for operating PhotoRobot hardware, processing visual content, or interacting with the PhotoRobot Cloud ecosystem.
3.3. Ownership of Hardware Required
Firmware may be used only on Robots manufactured or authorized by PhotoRobot.
4. Installation, Activation & Software Keys
4.1. Activation Required
Controls Local requires activation using a Software Key.
Without activation, the software may not function.
4.2. Hardware Binding
Each Software Key is bound to:
- the specific hardware configuration, or
- the specific installation instance (depending on product)
4.3. Re-Issuing Keys
A new key may be issued in case of:
- hardware replacement
- system upgrade
- license migration (if approved)
When a new key is issued, the original key immediately expires.
4.4. License Seat
Unless stated otherwise in the invoice or contract, each license applies to one installation.
5. Use of Firmware
5.1. Embedded Nature
Firmware is provided pre-installed on Robots and updates may be delivered electronically.
5.2. No Independent Use
Firmware may not be:
- extracted
- reverse engineered
- used separately from the Robot
5.3. Firmware Updates
Updates may require an active support plan or valid maintenance agreement.
6. Cloud 2.0 Extension
6.1. Eligibility
Cloud 2.0 is available only to:
- customers with an active Controls Local license
- and an active PhotoRobot Cloud subscription
6.2. Functionality
Provides features such as:
- cloud-assisted processing
- hybrid local/cloud workflows
- synchronization and metadata exchange
6.3. Dependency
Cloud 2.0 cannot function without access to the Controls Cloud.
7. Updates, Upgrades & Trade-Ups
7.1. Updates
PhotoRobot may provide Updates for:
- stability
- security
- compatibility
Updates are included only within the support period specified in the purchase or service contract.
7.2. Upgrades / Trade-Ups
Major version upgrades or migration to new platforms may require a new license fee.
7.3. Support Period for CL
CL license includes 12 months of software support.
Support renewal for an additional 12 months is charged at the current list price.
8. License Restrictions
You may not:
- sublicense, rent, lend, or lease the Licensed Software
- modify, reverse engineer, disassemble, or decompile any software or firmware
- use the Licensed Software with non-PhotoRobot hardware
- remove copyright notices
- use the Licensed Software in a manner that may damage PhotoRobot systems
- distribute or share Software Keys
Unauthorized use immediately terminates this Agreement.
9. Ownership & Intellectual Property
9.1. PhotoRobot IP
All rights to the Licensed Software, Firmware, algorithms, UI elements, Protocols, APIs and Documentation belong exclusively to uni-Robot Ltd.
Licensee acquires no ownership rights.
9.2. Third-Party Components
Licensed Software may contain third-party libraries governed by their own licenses.
9.3. Protection Mechanisms
Licensed Software may use technological protection measures (TPMs), including encrypted keys, obfuscation, or device fingerprinting.
Tampering is strictly prohibited.
10. Limited Warranty & Disclaimer
10.1. No Warranty
To the maximum extent permitted by law, PhotoRobot provides the Licensed Software “as is”, without warranties of any kind.
10.2. Firmware Safety
Firmware is designed for safe operation of Robots, but:
- Licensee is responsible for safe deployment
- PhotoRobot is not liable for misuse or modification of hardware
- Robots must be operated by trained personnel
10.3. Compatibility Not Guaranteed
PhotoRobot does not guarantee:
- compatibility with all OS versions
- continued support for legacy systems
- uninterrupted operation
11. Limitation of Liability
11.1. Limit
PhotoRobot’s total liability is limited to the amount paid by Licensee for the applicable license in the previous 12 months.
11.2. Exclusions
PhotoRobot is not liable for:
- loss of data
- indirect or consequential damages
- lost profits
- operational downtime
- incorrect installation or unapproved hardware modifications
12. Term & Termination
12.1. Term
This Agreement remains in effect until terminated.
12.2. Termination by Licensee
Licensee may discontinue use at any time by uninstalling all Licensed Software and ceasing use of Robots.
12.3. Termination by PhotoRobot
PhotoRobot may terminate immediately if:
- Licensee breaches this Agreement
- Licensee tampers with Firmware or Software Keys
- Licensee uses the Licensed Software with unauthorized hardware
12.4. Effect of Termination
Upon termination:
- all rights under this Agreement cease
- Licensee must destroy all copies of Licensed Software
- Software Keys are invalidated
- Firmware remains covered by hardware ownership, but all update rights end
13. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Czech Republic.
Disputes shall be resolved exclusively by the courts of Prague, Czech Republic.
